Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Magnor Vessels platform and related services. Magnor Vessels LLC ("Magnor Vessels", "we", "us", or "our") provides a web platform that helps superyacht owners, operators, and managers organise and track regulatory compliance activities. Please read these Terms carefully. By creating an account or using the Service, you agree to be bound by them.

1. Agreement to These Terms

By accessing or using the Service, or by clicking to accept these Terms, you confirm that you have read, understood, and agree to be bound by these Terms and by any documents incorporated by reference, including our Data Processing Agreement and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" and "Customer" refer to that entity.

If you do not agree to these Terms, you must not access or use the Service. Where the Customer has signed a separate written agreement with us (for example, an Enterprise order form), that agreement governs to the extent of any conflict with these Terms.

2. Definitions

  • Customer means the individual or entity that registers for or subscribes to the Service.
  • User means any individual authorised by the Customer to access the Service under the Customer's account, including crew members, managers, and administrators.
  • Vessel means each superyacht or other vessel that the Customer adds to or manages within the Service, and which forms the basis on which fees are calculated.
  • Subscription means the Customer's paid plan to access the Service, billed on a per-Vessel basis as described in Section 4.
  • Customer Data means all data, documents, records, and information that the Customer or its Users upload to, generate within, or submit through the Service, including crew, certification, vessel, and operational data.
  • Service means the Magnor Vessels web platform and all related features, including statutory certificate tracking, crew and certification management, rest-hours records, drills, planned maintenance, surveys and audits, document management, live AIS position display, and the AI compliance assistant.

3. Eligibility and Accounts

To use the Service, you must be at least 18 years old and capable of forming a binding contract. When you create an account, you agree to provide accurate, current, and complete information and to keep that information up to date.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account. You must keep credentials secure, must not share access with unauthorised persons, and must notify us promptly at hello@magnorvessels.com if you suspect any unauthorised use or security breach.

The Customer is responsible for its Users and for ensuring that each User complies with these Terms. Any act or omission by a User is treated as an act or omission of the Customer.

4. Subscriptions, Fees, and Billing

The Service is provided on a subscription basis and is billed per Vessel, in US dollars, either monthly or annually. The price for each Vessel depends on the plan you choose (Essentials or Professional) and on that Vessel's gross-tonnage band, as shown on our pricing page and confirmed during checkout. Volume, Enterprise, and fleet pricing is available by contacting sales@magnorvessels.com.

Fees are calculated based on the Vessels associated with the Customer's account during the relevant billing period, each priced by its gross-tonnage band. If the Customer adds, removes, or amends a Vessel during a billing period, fees are adjusted accordingly (with proration applied by our payment processor), and a Vessel's price may change if its gross tonnage moves it into a different band.

Subscriptions may be billed monthly or annually. Annual billing is offered at a discount compared with the equivalent monthly rate (currently equivalent to approximately two months free). Annual prepaid fees are charged in advance for the full term.

Unless stated otherwise, all fees are exclusive of applicable taxes (including any sales, use, VAT, or GST), which will be added where required by law. The Customer is responsible for all such taxes other than taxes based on our net income.

Payments are processed by Stripe, our third-party payment processor. By providing payment details, you authorise us and Stripe to charge the applicable fees. Your use of Stripe's services is subject to Stripe's own terms and privacy policy.

Subscriptions renew automatically at the end of each billing period (monthly or annual, as applicable) unless cancelled in accordance with Section 14. We may change our prices from time to time; we will give you advance notice of any price change, which will take effect at the start of your next renewal term.

Cancellation and refund specifics, including any pro-rata treatment and eligibility, are available on request from legal@magnorvessels.com. Except as required by applicable law or as expressly stated, fees are non-refundable.

5. Customer Data and Responsibilities

As between the parties, the Customer retains all rights in and is responsible for its Customer Data. For personal data relating to crew, Users, and other individuals, the Customer acts as the data controller and Magnor Vessels acts as a data processor.

The Customer represents and warrants that it has a lawful basis and all necessary rights, consents, and notices to collect, upload, and process Customer Data through the Service, and to authorise our processing of it on the Customer's behalf. Our processing of personal data is governed by our Data Processing Agreement (DPA), which forms part of these Terms.

The Customer is solely responsible for the accuracy, quality, and legality of Customer Data and for the means by which it was acquired. The Customer must ensure that its use of the Service, and the content it uploads, complies with all applicable laws, including data protection and privacy laws.

6. Acceptable Use

You agree not to misuse the Service. In particular, you must not:

  • use the Service for any unlawful, fraudulent, or harmful purpose, or in breach of any applicable law or regulation;
  • interfere with, disrupt, or attempt to gain unauthorised access to the Service, its servers, or related systems;
  • scrape, crawl, harvest, or systematically extract data from the Service except as expressly permitted;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
  • share, resell, or sublicense your access or credentials to any unauthorised third party;
  • upload or transmit any malware, viruses, or harmful code; or
  • upload, store, or share content that infringes the intellectual property or other rights of any third party, or that is unlawful, defamatory, or offensive.

7. Intellectual Property

The Service, including its software, design, text, graphics, and all related intellectual property, is owned by Magnor Vessels or its licensors and is protected by applicable laws. We grant the Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the subscription term, solely for the Customer's internal business purposes and in accordance with these Terms.

The Customer retains all ownership of its Customer Data. The Customer grants Magnor Vessels a worldwide, non-exclusive licence to host, store, process, copy, transmit, and display Customer Data solely as necessary to provide, maintain, secure, and improve the Service and to perform our obligations under these Terms and the DPA. We may use aggregated and anonymised data that does not identify the Customer, any individual, or any Vessel for analytics and to improve the Service.

8. AI Features

The Service includes an AI compliance assistant and other AI-assisted features. Output generated by these features is provided for informational purposes only and is not legal, regulatory, or professional advice.

AI-generated output may be incomplete, inaccurate, or out of date, and may not reflect the most current regulations or the specific circumstances of any Vessel. You must independently verify all AI output against the actual applicable regulations and authoritative sources before relying on it. You are solely responsible for any decisions or actions taken on the basis of AI output.

9. Compliance Responsibility

Magnor Vessels is a compliance assistance tool. It helps you organise, track, and manage compliance-related information, but it does not itself guarantee, certify, or ensure regulatory compliance.

The vessel owner, operator, master, and Designated Person Ashore (DPA) remain solely responsible for each Vessel's actual compliance with all applicable maritime regulations and standards, including ISM, MLC, ISPS, SOLAS, STCW, and MARPOL, as well as all flag-state and classification society requirements. Use of the Service does not transfer or reduce any of those responsibilities. Nothing in the Service should be treated as a substitute for the judgement of qualified personnel, the relevant authorities, or applicable regulatory instruments.

10. Service Availability

We aim to provide a high level of availability, but the Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or continuously available.

We may carry out scheduled or emergency maintenance, which may temporarily affect availability. Where reasonably practicable, we will aim to give advance notice of planned maintenance. Any service level commitments apply only where separately agreed in writing as part of an Enterprise contract.

11. Warranties and Disclaimers

Except as expressly stated in these Terms, and to the maximum extent permitted by applicable law, the Service is provided without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your requirements, that any defects will be corrected, or that the results obtained from the Service, including AI output, will be accurate or reliable. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law.

12. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to these Terms or the Service, even if advised of the possibility of such damages.

Subject to the foregoing, each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees paid by the Customer to Magnor Vessels in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law. This section is subject to the requirements of applicable law.

13. Indemnification

The Customer agrees to indemnify and hold harmless Magnor Vessels and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and reasonable expenses (including reasonable legal fees) arising out of or relating to: (a) the Customer's or its Users' breach of these Terms; (b) the Customer Data or the Customer's use of the Service; or (c) the Customer's violation of any applicable law or the rights of any third party. This indemnity is subject to applicable law.

14. Suspension and Termination

The Customer may cancel its Subscription at any time through its account settings or by contacting us, with effect from the end of the then-current billing period, subject to the notice and refund terms in Section 4.

We may suspend or terminate your access to the Service, in whole or in part, if: (a) you materially breach these Terms and, where the breach is capable of remedy, fail to remedy it within a reasonable period after notice; (b) you fail to pay fees when due; or (c) we are required to do so by law or to protect the security or integrity of the Service.

On termination or expiry, your right to access the Service ends and any outstanding fees become due. Following termination, we will make Customer Data available for export for a reasonable period, after which we may delete Customer Data in accordance with the DPA and our retention practices, unless retention is required by law.

15. Changes to the Service and to These Terms

We may modify, enhance, or discontinue features of the Service from time to time. We will not make changes that materially reduce the core functionality of a paid Subscription during a paid term without reasonable notice.

We may also update these Terms from time to time. If we make material changes, we will provide reasonable notice, for example by email or through the Service, before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Governing Law and Dispute Resolution

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Subject to the informal-resolution step below, the parties submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for the resolution of disputes. The parties will use reasonable efforts to resolve any dispute amicably before commencing formal proceedings.
