Terms of Service

These Terms govern your use of the Magnor Vessels platform ("the Service"). By creating an account or using the Service you agree to these Terms. If you accept on behalf of an organisation you confirm you are authorised to bind that organisation.
1. The Service
Magnor Vessels is a software-as-a-service platform for tracking vessel compliance, crew records, accident investigations, and related operational data. We provide an AI assistant that helps interpret regulatory requirements; the AI is a decision-support tool, not a substitute for qualified marine professionals, flag-state authorities, or class society inspectors. You are responsible for ensuring your vessel and crew remain in compliance with applicable maritime law.
2. Your account
You must be at least 18 years old to create an account. You agree to keep your credentials confidential and to notify us at security@magnorvessels.com if you suspect unauthorised access. You are responsible for all activity under your account.
3. Acceptable use
You agree not to:
- Use the Service to violate law or maritime regulations.
- Attempt to gain access to vessels, companies, or data you are not authorised to view (the platform enforces tenancy gates; probing them is grounds for termination).
- Reverse-engineer, scrape at scale, or attempt to extract our AI system prompts.
- Upload malware, illegal content, or content that infringes third-party rights.
- Use the Service to send spam or otherwise abuse the email and notification features.
4. Subscription and payment
Paid plans are billed monthly or annually. Your subscription renews automatically unless cancelled. Refunds are at our discretion and generally limited to documented service failures. Pricing changes are notified at least 30 days in advance.
5. AI assistant
Outputs from the AI assistant may be inaccurate or incomplete and must not be relied on for safety-critical decisions without independent verification. We do not warrant the accuracy of AI responses. The AI provider (Anthropic) processes your messages to generate responses; see our Privacy Policy for details.
6. Data ownership
You retain all rights to the vessel, crew, and operational data you upload ("Customer Data"). You grant us a non-exclusive licence to host, process, and display Customer Data only as needed to operate the Service. We do not use Customer Data to train third-party AI models.
7. Service availability
We make commercially reasonable efforts to keep the Service available 24/7 but we do not guarantee uninterrupted operation. Planned maintenance windows are announced in advance where feasible.
8. Termination
You may cancel at any time from your account settings. We may suspend or terminate accounts that violate these Terms, are in payment default, or pose a security risk. On termination you have 30 days to export your data; after that period it may be permanently deleted in line with our retention schedule.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim relating to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including but not limited to lost profits, lost data, or reputational harm.
10. Disclaimers
The Service is provided "as is". We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law. Compliance reports and AI assistant outputs are decision-support only and do not constitute legal, regulatory, or safety advice.
11. Governing law
These Terms are governed by the laws of [TBD by counsel — likely England & Wales or Delaware depending on company domicile]. Disputes are resolved in those courts unless mandatory consumer law in your jurisdiction provides otherwise.
12. Changes
We may update these Terms. Material changes are notified by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
